1. Acceptance of Terms: Before registering and bidding on this site, LL Auctions asks that you read our complete terms & conditions, and “key point” terms & conditions.
2. Registration. Bidding on this site signifies and constitutes that you hereby represent that you have read, understood and accept all terms & conditions on this site. In order to bid on this site you must properly fill out a registration form. As a “registered user” you agree to keep all information current, complete and accurate.
3. Changes in terms. LL Auctions may, at its sole discretion, change, modify, add or remove any portion of this agreement, in whole or in part, from time to time and at any time with notice, by posting such changes on this site. Your continued use of this site and the service it offers after such changes are posted will constitute your agreement to such changed agreement. This agreement was last revised on July 7, 2006.
4. Capacity to Register and Use Site: This site is available only to entities that can form a legal and binding contract. No one under 18 years of age can use this site. You must be an adult. Individuals who have been suspended, terminated or excluded from these services may NOT participate in LL Auctions online auctions.
5. Privacy: LL Auctions is committed to protecting your privacy. You are important to us and we take special care to maintain your trust. The information that you supply to us is not ever sold or shared with any other company or government agency. We value your business and your privacy. We will maintain the confidentiality of any and all personal information. We are against spam and use email addresses only to notify you of auction information regarding LL Auctions. If you register with us at either www.texas-auctions.com or www.texasauctions.biz you will be included on our email notification list. This list is maintained by LL Auctions and we do not spam. We will use your email address to correspond with you and send you notifications of upcoming auctions, events and/or newsletters. If at any time you do not wish to receive correspondence from us, simply email or call us and we will be happy to remove you from our contact list. Please keep in mind that it is your responsibility to maintain the secrecy of any usernames and passwords that you have created on our site. Although LL Auctions takes all the normal precautions possible, using the internet cannot be made absolutely secure. LL Auctions assumes no liability for data due to errors in transmission or unauthorized third parties. By using this Site you signify acceptance of our privacy policy. If you are not comfortable or do not agree with this policy your only remedy is to discontinue use of this Site. We reserve the right to modify this policy. Your continued use of this Site, following posting, will constitute your acceptance of those changes. Payment through our website is handled by a secure credit card payment processor. As a bidder you are responsible for your user name and password and any and all bids placed under your user name and password. If any entity places a bid, then the person executing the bid on behalf of the entity agrees to personally guarantee payment for any successful bid. LL Auctions reserves the right to exclude, terminate or suspend any person or company from using this site. 6. Release of Liability: In consideration of registration, participation in the auction or placing of a bid, a bidder expressly releases Auctioneer, its officers, directors, employees, affiliates or representatives from any and all claims, demands and damages (actual and consequential), related to or arising from or associated with Buyer’s, his agents or representatives use of this site, including but not limited to personal injuries or property damage incurred on the sale premises or during removal and transport of any auction items/lots, and arising out of, based upon, or resulting from any breach or violation by Bidder of this site, or as a result of a dispute with another bidder. Auctioneer shall not be bound by any prior or subsequent opinion, determination, or certification by any independent grading service, or third-party opinion.
7. Bidder conduct: Bidding on this site is a legal and binding contract. If you bid on merchandise, are the winning bidder and do not pay your invoice, this IS CONSIDERED THEFT, and in most all states prosecution can result! Bidders agree that bidding on this site is the legal equivalent of a firm purchase order. Sale price manipulation of any kind, directly or indirectly, by users is prohibited. Consignors or their agents MAY NOT bid on their consignments. Any illegal activity, fraud or scamming is subject to prosecution. You agree that you will not use any robot, spider, or other automatic device or manual process to monitor or copy this site or any activity conducted on this site. You will not copy, alter, modify or publicly display any content from our site without prior written permission of the Auctioneer. Anyone who fails to complete a transaction will be terminated from using this site and subject to civil prosecution. If you are dissatisfied with this site, any information, or refuse to abide by the Agreement, your right is to discontinue your use.
8. Technology Malfunction: Auctioneer cannot and will not be held responsible for any interruption in service, caused by any means. We cannot guarantee continual, uninterrupted or error free service or use of this site. Bidder acknowledges that this auction is conducted electronically and relies on hardware and software that may malfunction without warming. The Auctioneer may void any sale, temporarily suspend bidding, extend bidding and/or re-sell any item/lots that were affected by a malfunction.
9. Winning Bids, Bid Increments & Lots: LL Auctions has the final decision and determination of winning bids and bid increments. Bids will be accepted in whole dollar amounts only. LL Auctions reserves the right to withdraw, prior to the close of auction, or rescind the sale in the event of nonpayment, breach of a warranty, disputed ownership, clerical error or omission in exercising bids and reserves. Items are bid on and purchased per lot numerically, and will not be broken into smaller lots. LL Auctions is unable to combine invoices from other auctions. Each auction is invoiced separately.
10. Payment: Payment is due in FULL 48 hours after invoice is emailed to you, and 24 hours prior to pick up. Payment can be made online via our secure credit card processing or by PayPal. Contact LL Auctions to overnight certified checks, money orders or wire transfers.
11. Non-US Funds: Non-US funds will be accepted at the rate of exchange as published in the previous day’s Wall Street Journal. A handling charge of 10% of the total invoice amount will be assessed when payment is made in foreign currency.
12. Buyer’s Premium: There is a 10% buyer’s premium charged on all items purchased, unless otherwise noted.
13. Postponement and Cancellation: LL Auctions reserves the right to postpone or cancel any posted auction without liability to prospective bidders.
14. Non-Payment: In the event that a bidder’s payment is dishonored upon presentment, bidder shall pay maximum statutory processing fee applicable by state law. If Auctioneer assigns collection to attorney, such attorney’s fees are due over and above the amount of the invoiced item. Auctioneer reserves the right to deem the item(s) abandoned and re-sell the item(s). There will be NO refund, credit or adjustment made. Auctioneer shall have a lien against the merchandise purchased by the buyer to secure payment of the Auction invoice. Auctioneer is further granted a lien and the right to retain possession of any other property of the buyer then held by the Auctioneer, to secure payment of any Auction invoice or any amounts due the Auctioneer from the buyer. With respect to these lien rights, Auctioneer shall have all the rights of a secured creditor under Article 9 of the Texas Uniform Commercial Code. In addition, with respect to payment of the Auction invoice(s), the buyer waives any and all rights of offset he might otherwise have against the Auctioneer and the consignor of the merchandise included on the invoice.
15. Minimums and Reserves: We sell most all of our items without any minimums or reserves. In the event that an item has a minimum or reserve Auctioneer has the right to reject any and all bids that are less then the reserve, or to bid on behalf of the seller as an agent up to the reserve.
16. Vehicles: Vehicle title paper (where applicable) will be issued by the seller within 10 working days, unless otherwise noted. Odometer readings are NOT guaranteed by LL Auctions.
17. Descriptions: NO WARRANTY, WHETHER EXPRESSED OR IMPLIED, IS MADE WITH RESPECT TO ANY DESCRIPTION CONTAINED IN THIS AUCTION. Any description of the items contained in this auction is an opinion for the sole purpose of identifying the item for those bidders who do not have the opportunity to view the lots prior to bidding, and no description of items has been made part of the basis of, or has created any express warranty that the goods would conform to any description made by the Auctioneer. Bidder acknowledges that all item/lots were available for inspection prior to the auction and, by these terms, Auctioneer and owner/seller strongly encouraged bidder to carefully inspect each item/lot in which bidder had any interest to determine the item/lot’s nature, quality, condition, and size. Bidder relied solely on personal inspection and not on information listed on the site or otherwise provided by Auctioneer, Owner/Seller. Bidder’s failure to inspect does not constitute grounds for claim, adjustment, refund, termination or refusal to close the sale. Auctioneer does not warrant authenticity. Auctioneer is selling only such right or title to the items being sold as Auctioneer may have by virtue of consignment agreements on the date of the auction. In the event of any attribution error, Auctioneer may at her sole discretion, correct the error on the Internet. Auctioneer disclaims any warranty of merchantability or fitness for any particular purposes, performance, and accuracy of informational content. There is no warranty that information provided on this site will fulfill any of your particular purposes or needs. Auctioneer disclaims all liability for damages, consequential or otherwise, arising out of or in connection with the sale of any property by Auctioneer to Bidder.
18. Arbitration: The terms & conditions and “key terms” outlined in this site shall be governed by and enforced in accordance with the laws of the State of Texas applicable to contracts entered into and to be performed entirely within the State of Texas. By placing a bid or otherwise participating in the auction, such person or entity accepts these terms & conditions and “key terms” of the Auction, and specifically agrees to the alternative dispute resolution provided herein and in accordance with the commercial rules of the American Arbitration Association. Arbitration replaces the right to go to court, including the right to a jury trial. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Bidder further agrees not to join in any lawsuit with another person or serve as a class representative of any class action lawsuit against LL Auctions, its owners, officers, directors, employees or representatives, out of use of this Site. Any arbitrations shall be conducted in Galveston County, Texas.
19. Venue: All litigation filed against LL Auctions shall be filed in Galveston County Texas where venue lies.
20. Jurisdiction: The laws of the State of Texas shall govern this Agreement.
21. Third-Party Links: LL Auctions occasionally provides links to third party internet sites. No representation or endorsements are made in connection with such sites.
22. Copyright and Trademarks: The trademarks, trade names, designs and all material contained on this Site including all portions of the web site, content, site design, text, graphics and all intellectual property rights thereto are the sole and exclusive property of LL Auctions or its licensors. The use of any such property for any other reason, or any other web site, distribution or republication of this material without the prior written permission of LL Auction is strictly prohibited.
23. Survival: If any provision of the Agreement is held by a court to be invalid or unenforceable, the reminder of this Agreement shall continue in full force and effect. You agree that any cause of action arising out of or related to the Agreement must commence within six (6) months after the cause of action arose; otherwise, such cause of action is permanently barred. This Agreement, (complete terms & conditions and key point terms), comprises the entire agreement between you and LL Auction and supersedes all prior agreements between the parties, regarding the subject matter contained herein. All provisions in this Agreement regarding representations and warranties, indemnification, disclaimers and limitations on liability shall survive any termination of this Agreement.
